Garden Reach Ship - Disclosure Under Reg 30 Of SEBI (LODR), Reg 2015\r\nImposition Of Fines By NSE And BSE

In terms of Reg 30, we hereby inform you that the company has received notices dated 29 Aug 2025 from NSE and BSE regarding Non - compliance with regulations 17, 17(2A), 18(1), 19(1)/19(2), 20(2)/(2A) and 21(2) of the SEBI LODR 2015. In View of the said non- Compliances, a fine of Rs. 12,54,340 has been imposed by each of the stock exchanges NSE and BSE. \r\n\r\nIn response the Company has submitted the letter dated 30 Aug 2025 that the appointment of Independent Directors including women independent Director on the Board is not in the hands of the Company and also beyond the Control of the Company. Therefore, it has been requested that GRSE should not be held liable for the fines imposed and that the fines may be waived off. \r\n\r\nThe detailed discloser is enclosed.
