Pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (\Listing Regulations\) and SEBI Circular dated November 11, 2024, and December 31, 2024 (\SEBI Circular\), we hereby inform you that the Board through the Circular Resolution passed on Tuesday, September 02, 2025, inter-alia considered and approved the addendum to the earlier Board Resolution and disclosure given to the Stock Exchange dated July 03, 2025 for the proposal to incorporate Wholly-Owned Subsidiary of the Company in the United States of America where in the enclosed Annexure A below we have specifically mentioned the Subscription of Equity Shares and consideration to be paid against the head \Cost of Acquistion or the price at which the shares are acquired\ as per the regulatory requirements for the Incorporation of proposed Wholly-Owned Subsidiary Company.
