Purple Wave Infocom - Board Meeting Outcome for Outcome Of Board Meeting Held On 26Th March 2026

Pursuant to Regulation 30 of SEBI LODR 2015, the Board of Directors of the Company at its meeting held today has inter alia considered and approved the following:\r\n1.The Board has approved the incorporation of a Wholly Owned Subsidiary Company in India,\r\n2.The proposal for incorporation of a Wholly Owned Subsidiary in UAE is approved by the Board of Directors, \r\n3.The Board has approved the introduction and implementation of 'PWIL ESOP 2026' in accordance with the provisions of the Companies Act, 2013 and SEBI (SBEB) Regulations, 2021, subject to approval of the shareholders of the Company.\r\n4.The Board has approved convening of an Extra-Ordinary General Meeting (EGM) of the Members of the Company on 9th May 2026 at 02:00 P.M. through ('VC') or ('OAVM') to seek approval of the shareholders for the ESOP Scheme.\r\n5.The Board has taken note of and accepted the resignation of Mr. Shaurya Jitendra Somani,(CEO) of the Company, with effect from 1st April 2026.\r\n\r\n\r\n
